What is Fulfilment by Amazon – FBA

FBA is a service offered by Amazon which allows sellers to outsource fulfilment. In simple terms, sellers send products to Amazon fulfilment centres, and when a customer makes a purchase, Amazon will pick, pack and ship the order.

FBA business will have one or more products which they source from one or more suppliers. The product(s) are shipped from the supplier(s) to the Seller and the Seller will forward them to an Amazon fulfilment centre so that they can then be sold directly to customers via the Amazon platform.

Merger and Acquisition (M&A) activity in the e-commerce sector is buoyant, to the extent that there are now a number of companies which specialise in the acquiring and ‘aggregating’ Amazon FBA businesses many of which are backed by major private equity funds.

Given the low entry costs, new sellers can quickly enter the marketplace, and buyers – usually larger companies – are often on the lookout for opportunities to acquire up and coming competitors, established businesses, suppliers or other strategic companies to help propel them to the next level or into a new area of the market.

How we can help sellers of e-commerce businesses

The process of selling an Amazon FBA business requires input from experienced legal experts.

We can help the parties to a transaction in the following ways:

  1. The parties will be negotiating long and complex legal documents which contain onerous terms and often also complicated price adjustment mechanisms (such as earn-outs).
  2. The Seller(s) will be providing warranties to the Buyer against which they may have to make specific disclosures by way of a disclosure letter, failing which the Buyer will be able to bring a claim for breach of warranty after completion.

  4. The big Amazon aggregators also often insist that the Seller(s) have some ongoing involvement in the business for a set period post-completion, the terms of the corresponding agreement between the aggregator and the Seller(s) will need to be carefully negotiated
  5. Often, Sellers will hold some if not all of their business’ intellectual property rights in their personal name, these will need to be formally transferred to Buyer simultaneously with the shares or assets (as the case may be) in the target company
  6. Where appropriate, we work closely with our expert Employment team to provide advice relating to staff redundancies and TUPE.

The correct advice from the outset can save you time and money. There is also the risk of sellers potentially losing out on the deal, as the acquisition process for Amazon FBA businesses is usually subject to strict timescales and a target completion date that falls less than 90 days after the offer date is not unusual.
